What I don't understand about this is the fact that PayPal does NOT have the authority to do this. So why would they even try? There is no way they could ever win in court. Private companies cannot give out fines for wrong think or for anything else for that matter. Late fees or pre agreed upon charges sure, but fines?

I can enter a contract with you that says "if you say 'boo' you owe me $10." That's not an illegal contract if all parties consented to the terms. And if you refuse to pay I can use the courts to make you pay.

Each state is different. In some states you can't avoid liability to a former spouse by prenup.

How is someone without an account going to get fined so they can sue PayPal? When you continue to use the service after being notified of the change you are agreeing to the new contract.
it was just easier to close my paypal acct that i've had for 20+ years rather than pay a lawyer to fight paypal.

Any amount over $2500 is ineligible for small claims. Then you are looking at arbitration out of country, per the contract you signed. Paypal handles arbitration in LUX with a banking court. The process is a nightmare and impossible for normal people.
<$2500 you can do a small claims, singly. But they can negate $2500 in heartbeat for a hundred different penalties and fines. -You'll win in small claims court and still not get your money.
